AGREEMENT TO OUR LEGAL TERMS

We are IndieLog ('Company', 'we', 'us', or 'our'), a company registered in the United Kingdom at 36 North Road, London, N7 9DP.

We operate the website indielog.app (the 'Site'), as well as any other related products and services that refer or link to these legal terms (the 'Legal Terms') (collectively, the 'Services').

We provide IndieLog — a ToDo application designed for solo SaaS founders and indie hackers. Its core feature is the native integration with Stripe and GitHub, allowing users to directly connect their tasks (e.g., coding, marketing) to key business metrics like revenue and code commits. The platform aims to solve the problem of understanding the real-world impact of a founder's daily work. A key differentiator is the 'decision log,' which allows founders to document important project decisions for future context, creating a strategic memory for their business.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ('you'), and IndieLog, concerning your access to and use of the Services. The Services are intended for users who are at least 18 years old.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the 'Content'), as well as the trademarks, service marks, and logos contained therein (the 'Marks').

The Content and Marks are provided in or through the Services 'AS IS' for your personal, non-commercial use or internal business purpose only.

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services solely for your personal, non-commercial use or internal business purpose.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that all registration information you submit will be true, accurate, current, and complete; you have the legal capacity and agree to comply with these Legal Terms; you are not a minor in the jurisdiction in which you reside; and your use of the Services will not violate any applicable law or regulation.

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password.

5. PURCHASES AND PAYMENT

We accept Visa and Mastercard. All payments shall be in British Pound Sterling.

6. ACCOUNT AND BILLING

Billing

You consent to our charging your payment method on a usage basis without requiring your prior approval for each charge.

Free Trial

We offer a 7-day free trial with 50 credits to new users who register with the Services. The account will not be charged and the subscription will be suspended until upgraded to a paid version at the end of the free trial.

Cancellation

All purchases are usage-based and are non-refundable. You can cancel your account at any time by logging in to your account. Your cancellation will take effect immediately.

7. SOFTWARE

We may include software for use in connection with our Services. If such software is accompanied by an end user licence agreement ('EULA'), the terms of the EULA will govern your use of the software.

8. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to systematically retrieve data, trick or defraud users, circumvent security features, disparage the Services, use the Services in any manner inconsistent with applicable laws, or engage in any automated use of the system.

9. USER GENERATED CONTRIBUTIONS

The Services does not offer users to submit or post content. When you create or make available any Contributions, you represent and warrant that they do not infringe the proprietary rights of any third party.

10. CONTRIBUTION LICENCE

You and Services agree that we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy and your choices.

11. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to other websites ('Third-Party Websites'). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy by us.

12. THIRD-PARTY ACCOUNTS

As part of the functionality of the Site, you may link your account with online accounts you have with third-party service providers. By granting us access to any Third-Party Accounts, you understand that we may access, make available, and store any content that you have provided to and stored in your Third-Party Account.

13. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms and take appropriate legal action.

14. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy: /privacy. By using the Services, you agree to be bound by our Privacy Policy. The Services are hosted in the United Kingdom.

15. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to and use of the Services to any person for any reason, including breach of any representation, warranty, or covenant contained in these Legal Terms.

16. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice.

17. GOVERNING LAW

These Legal Terms are governed by and interpreted following the laws of the United Kingdom. IndieLog and yourself both agree to submit to the non-exclusive jurisdiction of the courts of London.

18. DISPUTE RESOLUTION

The European Commission provides an online dispute resolution platform. If you would like to bring this subject to our attention, please contact us at legal-inquiries@indielog.app.

19. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions at any time, without prior notice.

20. DISCLAIMER

THE AI-DRIVEN SERVICES ARE OFFERED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL ADVICE. THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

21. LIMITATIONS OF LIABILITY

IN NO EVENT WILL THE COMPANY, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. FURTHER, THE COMPANY'S LIABILITY SHALL NOT EXCEED THE FEES YOU HAVE PAID TO THE COMPANY IN THE 6 MONTHS PRECEDING THE INCIDENT.

22. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Company, its subsidiaries, affiliates, and each of our officers, directors, employees, agents, and partners from and against any losses, liabilities, damages, claims, or expenses arising out of or in connection with your use of the Services.

23. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services. You are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.

24. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications.

26. MISCELLANEOUS

These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us.
